Maker Agreement

This Maker Agreement governs the relationship between you (the "Maker") and Sarah's Siopa Ltd (the "Platform"). By applying to sell on Sarah's Siopa and by having your application approved, you agree to be bound by these terms.
1. Eligibility
To sell on Sarah's Siopa you must:
- Be based in Ireland (Republic of Ireland or Northern Ireland)
- Produce, curate, or meaningfully contribute to the products you list — no pure resellers
- Hold any required business licences or permits for your goods
- Be at least 18 years old
- Have or be willing to create a Stripe Express account for payouts
2. Your Products
2.1 Listing standards
All product listings must:
- Be accurate, complete, and not misleading
- Include clear, honest photography (no stock photos of products you didn't make)
- State lead times and any customisation limitations clearly
- Comply with all applicable Irish and EU product safety regulations
2.2 Prohibited items
You may not list: counterfeit goods; items infringing third-party intellectual property; hazardous materials without proper labelling; anything illegal under Irish law; or goods that violate our community standards (available on request).
2.3 Platform curation
Sarah's Siopa reserves the right to reject, remove, or delist any product or listing at our discretion, with reasonable notice where possible.
3. Pricing & Commission
You set your own prices. Sarah's Siopa charges a platform commission of 10% of the gross sale price (including VAT). This is deducted automatically from each payout via Stripe Connect. The commission rate may be updated with 30 days' notice.
You are the merchant of record for your products and are responsible for accounting for VAT (where applicable) on your sales.
4. Fulfillment
You are responsible for fulfilling all orders promptly. Standard expectation is dispatch within the lead time shown on your listing. You must:
- Provide accurate delivery estimates at the point of listing
- Update order status in your Maker Dashboard when items are dispatched
- Communicate proactively with buyers if there are delays
- Package items safely and appropriately for postal transit
5. Returns & Disputes
You must maintain a returns policy that complies at minimum with the EU Consumer Rights Directive (14-day right of withdrawal for standard goods). Your policy must be clearly stated in your product listings.
For disputes, Sarah's Siopa will act as a neutral mediator. We may, at our discretion, issue refunds to buyers and recover the amount from your next payout where we determine a valid complaint has not been adequately resolved.
6. Payouts
Payouts are processed via Stripe Express. You must complete Stripe's identity verification to receive payouts. Funds are held briefly by Stripe per their standard payout schedule after payment capture. Sarah's Siopa is not responsible for delays caused by Stripe's verification or payout processes.
7. Intellectual Property
You retain ownership of your product photos and descriptions. By listing on the platform, you grant Sarah's Siopa a non-exclusive, royalty-free licence to display and promote your products on the platform and in marketing materials (social, email, press). You may request removal of your content at any time by contacting us.
8. Conduct
Makers must:
- Treat buyers with respect and professionalism
- Not attempt to transact with buyers outside the platform to avoid commission
- Not artificially inflate reviews or ratings
- Keep account and payout information up to date
9. Suspension & Termination
Sarah's Siopa may suspend or terminate a Maker account for material breach of this agreement, repeated buyer complaints, failure to fulfill orders, or other conduct detrimental to the platform's reputation. Where possible, we will provide written notice and an opportunity to remedy the breach before termination.
You may terminate your account at any time; any outstanding orders must be fulfilled before your account is fully closed.
10. Governing Law
This agreement is governed by Irish law. Disputes shall be subject to the jurisdiction of the Irish courts.
